1. Acceptance of Terms

By accessing and using the website and services of Mirten Group LLC ("we," "our," or "us"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

2. Definitions

  • "Client" / "you" — the business entity or authorized representative using our services
  • "Services" — wholesale sourcing, quality control, logistics coordination and related services described on this website
  • "Order" — a written agreement to purchase goods or services, confirmed by both parties

3. Services Description

Mirten Group LLC provides wholesale trading services, connecting businesses with suppliers worldwide. Our services include:

  • Global sourcing and supplier verification
  • Quality control and inspection services
  • Logistics and shipping coordination
  • Customs clearance assistance
  • Business consultation and support

We act as an intermediary between you and manufacturers/suppliers. We are not the manufacturer of the goods unless expressly stated.

4. Eligibility and Business Relationship

Our services are intended for business-to-business (B2B) transactions only. By using our services, you represent that:

  • You are a registered business entity or act on behalf of one
  • You have the authority to enter into business agreements
  • You are at least 18 years of age
  • All information provided is accurate and current
  • You will use the goods purchased for lawful business purposes

5. Quotations and Orders

Quotations: All quotations are valid for 14 calendar days unless otherwise stated. Quotations include the agreed price, quantity, specifications and delivery terms.

Order confirmation: An Order becomes binding only after written confirmation by both parties (email is sufficient). Verbal agreements are not binding.

Changes: Changes to a confirmed Order require written agreement from both parties and may affect price and delivery time.

6. Prices and Payment Terms

Currency: All prices are quoted in US Dollars (USD) unless otherwise agreed in writing.

Pricing: Prices are based on current market conditions and are confirmed in the final quotation before order processing. There are no hidden fees — all charges are itemized in your invoice.

Payment methods: We accept bank (wire) transfers and major payment cards. Specific payment schedules (e.g., deposit + balance) are agreed per Order and stated on the invoice.

Late payment: We reserve the right to suspend processing of Orders with overdue balances.

7. Chargebacks

If you have any issue with a charge or an order, please contact us at info@mirtengroup.com before initiating a chargeback with your bank or card issuer. We resolve most issues within 1–2 business days. Chargebacks filed without first contacting us may delay resolution and may be disputed with supporting documentation.

8. Quality Assurance

We support product quality through pre-shipment inspections, factory checks, supplier verification, and quality certificates where applicable. Detailed quality requirements must be agreed in writing as part of the Order. As an intermediary, our responsibility is limited to the agreed inspection scope.

9. Shipping and Delivery

Shipping terms (EXW, FOB, CIF, DDP, etc.) are specified in each Order agreement. Estimated delivery times are approximate and may vary due to production schedules, customs clearance, or carrier delays. Full details are set out in our Shipping Policy.

10. Returns and Refunds

Claims must be submitted within 14 days of delivery with photographic or video evidence. Approved refunds are issued within 5–10 business days to the original payment method. Full conditions are set out in our Refund & Return Policy.

11. Intellectual Property

All content on this website — text, graphics, logos and design — is the property of Mirten Group LLC or its licensors and may not be copied or used commercially without written permission. You are responsible for ensuring that goods you order (including branded or custom-manufactured goods) do not infringe third-party intellectual property rights.

12. Limitation of Liability and Indemnification

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, including lost profits. Our total liability for any claim shall not exceed the amount paid for the specific Order in question.

You agree to indemnify Mirten Group LLC against claims arising from your misuse of the services, violation of these Terms, or infringement of third-party rights in connection with goods ordered at your specification.

13. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, war, government actions, port closures, epidemics, or carrier failures. The affected party must notify the other promptly, and obligations are suspended for the duration of the event.

14. Governing Law, Disputes and Severability

Governing law: These Terms are governed by the laws of the United States.

Disputes: Parties agree to first attempt to resolve disputes through good-faith negotiation. If negotiation fails within 30 days, disputes may be submitted to mediation or binding arbitration.

Severability: If any provision of these Terms is found invalid, the remaining provisions remain in full force.
